API Terms of Service

These API Terms of Service ("API Terms") govern your access to and use of the application programming interfaces ("APIs") provided by Metorial, Inc. ("Metorial," "we," "us," or "our"). By accessing or using the APIs, you ("you" or "Subscriber") agree to be bound by these API Terms in addition to our general Terms of Service. If you do not agree to these API Terms, you may not use the APIs.

If you are accessing or using the APIs on behalf of a company or legal entity, you represent and warrant that you have authority to bind that entity to these API Terms.


1. API Access and License

Subject to compliance with these API Terms and your applicable Subscription Tier, Metorial grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the APIs solely for your internal business purposes, and strictly within the usage limits and functionality available under your active plan.

API Key

To use the APIs, you must obtain an API key from Metorial. You are responsible for securing your API key and for all activity conducted using your key. You must not share, sublicense, or disclose your API key to any unauthorized party.


2. Usage Restrictions

You agree that you will not (and will not allow others to):

  1. Use the APIs in any manner that violates applicable laws or regulations;
  2. Exceed your allocated API usage limits or quotas without prior written approval;
  3. Use the APIs in a manner that circumvents or attempts to bypass access or rate limitations;
  4. Use the APIs to build or improve a product or service that competes with Metorial;
  5. Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the APIs or any part of the Metorial Service;
  6. Use the APIs for any abusive or fraudulent activity, including spamming, unauthorized data scraping, or data harvesting;
  7. Share your access credentials or allow any third party to access the APIs on your behalf unless expressly permitted by Metorial;
  8. Use the APIs in any manner that could harm, disable, overburden, or impair the functioning of the Service or disrupt other users’ access to the Service.

3. Changes and Availability

Metorial reserves the right to modify, suspend, or discontinue the APIs or any part thereof at any time and for any reason, with or without notice. We may also introduce new APIs, impose additional restrictions, or change existing functionality. While we aim to ensure continuity, we are not obligated to maintain backward compatibility.


4. API Access Revocation

We may monitor your use of the APIs to ensure compliance with these API Terms. We reserve the right to suspend or revoke your access to the APIs at any time, with or without notice, if we believe:

  • You are in breach of these API Terms;
  • Your use poses a security risk or potential harm to Metorial, our users, or systems;
  • Your use may subject us or others to legal liability;
  • Your account is inactive for an extended period;
  • You exceed your API quota and fail to upgrade or reduce usage.

5. Ownership and Intellectual Property

All rights, title, and interest in and to the APIs, the Metorial Service, and all related intellectual property are and will remain the exclusive property of Metorial and its licensors. You may not copy, modify, distribute, sell, or lease any part of the APIs or included software, nor may you reverse engineer or attempt to extract the source code, except to the extent laws prohibit such restrictions.

Your use of the APIs does not grant you ownership or any rights in the Metorial IP beyond the limited license explicitly granted herein.


6. Confidentiality

You may gain access to non-public information related to the APIs or the Metorial platform. You agree to treat all such information as confidential and not disclose it to any third party without prior written consent from Metorial.


7. Disclaimer of Warranties

THE APIs ARE PROVIDED “AS IS” AND “AS AVAILABLE.” METORIAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND CONTINUOUS AVAILABILITY.


8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METORIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL METORIAL’S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO METORIAL FOR API ACCESS IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) $100.


9. Term and Termination

These API Terms remain in effect until terminated.

You may terminate your use of the APIs at any time by ceasing all use and deleting all copies of your API keys. Metorial may terminate or suspend your access to the APIs at any time and for any reason, including if we believe that you have violated these API Terms or the general Terms of Service.

Upon termination, all rights granted under these API Terms will immediately cease, and you must stop all use of the APIs.


10. Miscellaneous

  • Governing Law: These API Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
  • Severability: If any provision is held to be unenforceable, the remaining provisions will remain in effect.
  • Modifications: We may update these API Terms from time to time. Continued use of the APIs after an update constitutes your acceptance of the changes.
  • Entire Agreement: These API Terms, together with our general Terms of Service and Privacy Policy, form the entire agreement between you and Metorial regarding your use of the APIs.
